Terms of Service / Client Agreement

These Terms of Service apply when you use Skaile’s website, portal, services, plans or any related digital services.
“Skaile”, “we”, “us” or “our” refers to Skaile / OXX Group Ltd.
“You” or “your” refers to the customer, client, business, user or organisation using our services.
By signing up, accessing the Skaile portal, accepting a proposal, paying an invoice or using our services, you agree to these terms.
1. About Skaile
Skaile provides digital, marketing, website, SEO, content, automation, AI-supported and related services to businesses.
Our services may include, but are not limited to:
- Website support and improvements
- SEO tasks and recommendations
- CRO recommendations
- Content creation
- Paid advertising support
- Reporting
- Digital audits
- AI-supported marketing tasks
- Portal access
- Ticket management
- Client communication and support
The exact services included will depend on your selected plan, proposal, invoice, service agreement or agreed scope of work.
2. Plans and subscriptions
Some Skaile services are provided on a monthly plan basis.
Your plan may include a set number of tasks, hours, deliverables, reports, content pieces, audits, recommendations or support items each month.
Unused monthly allowances do not automatically roll over unless agreed in writing.
We may update, improve or adjust our plans from time to time. Any material changes affecting your active plan will be communicated where appropriate.
3. One-off services
We may also provide one-off services such as audits, website projects, setup work, marketing campaigns, content packages or consultancy.
The scope, fee, timeline and deliverables for one-off work will be confirmed separately by proposal, email, invoice or written agreement.
4. Client responsibilities
To deliver our services properly, you agree to provide accurate information, timely feedback and reasonable access to any relevant systems.
This may include access to:
- Website CMS
- Hosting
- Domain/DNS
- Google Analytics
- Google Search Console
- Google Business Profile
- Advertising accounts
- CRM systems
- Email platforms
- Social media accounts
- Brand assets
- Business information
You are responsible for making sure any information, images, claims, pricing, offers, testimonials or business details you provide are accurate and lawful.
Delays in providing access, information or approvals may delay the delivery of our services.
5. Approvals and publishing
Where work requires approval, we will not usually publish or make significant changes live until approved by you or an authorised person in your business.
In some cases, where you have given us ongoing permission to manage a service, we may carry out agreed tasks without separate approval each time.
You are responsible for reviewing work carefully before approval.
6. AI-supported work
Skaile may use AI tools to support research, planning, drafting, analysis, recommendations, automation and delivery.
AI helps us work faster and more efficiently, but human review may still be required depending on the task.
You acknowledge that AI-generated suggestions, drafts, reports or outputs may need checking, editing or approval before use.
We do not guarantee that AI-generated content will be error-free, complete, legally compliant or suitable for every use without review.
7. Portal use
You may receive access to the Skaile portal to view plans, tasks, reports, tickets, audits, messages or other service-related information.
You must keep your login details secure and not share account access with unauthorised users.
You are responsible for activity carried out through your account.
We may suspend or restrict portal access if we believe there has been misuse, unauthorised access, non-payment or a breach of these terms.
8. Payments
Fees are payable as set out in your plan, invoice, proposal or payment agreement.
Monthly plans are usually billed monthly in advance unless agreed otherwise.
Late or failed payments may result in work being paused, services being suspended or access to the portal being restricted.
We may charge reasonable costs for additional work outside your agreed plan or scope.
9. Cancellations
Unless agreed otherwise, monthly plans may be cancelled by giving written notice before your next billing date.
Cancellation does not remove your responsibility to pay any outstanding fees for work already completed, committed or delivered.
One-off projects may have separate cancellation terms depending on the scope and stage of delivery.
10. Refunds
Fees paid for completed work, setup work, strategy, consultancy, audits, digital services or monthly plans are generally non-refundable unless required by law or agreed in writing.
If a service cannot be delivered due to an issue caused by Skaile, we may offer a reasonable remedy, replacement service, credit or refund at our discretion.
11. Results and performance
We aim to provide high-quality digital and marketing services, but we do not guarantee specific commercial results.
This includes, but is not limited to:
- Search rankings
- Website traffic
- Leads
- Sales
- Enquiries
- Conversion rates
- Advertising performance
- Revenue growth
- AI output accuracy
Marketing results can be affected by many external factors, including competition, market demand, pricing, reputation, budget, website quality, customer service and third-party platform changes.
12. Third-party platforms
Our services may rely on third-party platforms such as Google, Meta, Stripe, Clerk, hosting providers, email platforms, analytics tools, AI tools, CRM systems or other software.
We are not responsible for downtime, policy changes, pricing changes, account restrictions, data loss or service issues caused by third-party platforms.
You remain responsible for complying with the terms and policies of any third-party platforms you use.
13. Intellectual property
Unless agreed otherwise, once all relevant fees have been paid, you will own the final approved client-specific work we create for you.
This may include approved website copy, graphics, reports or content produced specifically for your business.
Skaile retains ownership of its own tools, systems, templates, processes, frameworks, methods, software, portal features, know-how and reusable materials.
We may reuse general ideas, structures, processes and non-confidential knowledge developed during our work.
14. Client materials
You confirm that you have the right to use any materials you provide to us, including logos, images, videos, copy, testimonials, data, brand assets and account access.
You agree not to provide materials that infringe someone else’s rights or breach any law.
15. Confidentiality
Both parties agree to keep confidential information private and not disclose it to third parties except where required to deliver the services, comply with the law or with written permission.
Confidential information does not include information that is already public or independently developed without using confidential information.
16. Data protection
We will handle personal data in accordance with our Privacy Policy.
Depending on the services provided, Skaile may act as a data controller, processor or both.
You are responsible for ensuring that any personal data you provide to us has been collected lawfully and can be used for the requested purpose.
17. Limitation of liability
To the fullest extent permitted by law, Skaile will not be liable for indirect losses, loss of profits, loss of revenue, loss of business, loss of goodwill, loss of data or loss caused by third-party platforms.
Our total liability for any claim will be limited to the amount paid by you to Skaile for the relevant service during the three months before the claim arose, unless the law says otherwise.
Nothing in these terms limits liability where it would be unlawful to do so.
18. Suspension or termination
We may suspend or terminate services if:
- You fail to pay fees when due
- You breach these terms
- You misuse the portal or services
- You provide unlawful or misleading information
- Continuing to provide services creates legal, reputational or operational risk
- We are unable to deliver the service due to lack of access, cooperation or information
19. Changes to these terms
We may update these terms from time to time.
The latest version will be available on our website or portal.
Continued use of our services after changes are published means you accept the updated terms.
20. Governing law
These terms are governed by the laws of England and Wales.
Any disputes will be subject to the courts of England and Wales.
